These Terms of Use (these “Terms”) set forth the conditions for use of the website operated by Nyle Inc. (the “Company,” “we,” “us,” or “our”) (the “Site”) and for the purchase of kintsugi kits and related products sold on the Site, as well as any ancillary services provided in connection therewith (including manuals and other materials) (collectively, the “Services”).

These Terms consist of the main body (“Main Terms”) and the appendices (“Appendix 1” and “Appendix 2”) that set forth special provisions concerning product characteristics and international purchases.

 


 

Chapter 1: Main Terms (General)

Article 1 (Definitions)

  1. Products” means the kintsugi kits sold on the Site (including, without limitation, natural urushi lacquer, gold/silver powder, tools, manuals, and any other components) and any accompanying items (which may include antique cracked plates).

  2. Customer” means an individual consumer who purchases Products through the Site.

  3. Individual Policies” means our separate policies posted on the Site, including, without limitation, policies regarding shipping, returns/refunds, and privacy.

Article 2 (Scope; Priority)

  1. These Terms apply to all relationships between the Company and Customers in connection with the use of the Site and the purchase of Products.

  2. Individual Policies form part of these Terms. In the event of any conflict between the Main Terms and any Individual Policy, the applicable Individual Policy shall prevail.

  3. With respect to safety precautions and international purchases, Appendix 1 (Special Provisions for Kintsugi Kits) and Appendix 2 (Special Provisions for International Purchases) apply in addition to the Main Terms. In the event of any conflict between the Main Terms and an Appendix, the relevant Appendix shall prevail.

Article 3 (Acceptance)

Customers shall review these Terms and the Individual Policies before placing an order. By completing an order on the Site, the Customer is deemed to have agreed to these Terms.

Article 4 (Amendments to the Terms)

  1. We may amend these Terms (including the appendices and Individual Policies) where reasonably necessary due to changes in laws or regulations, changes in product specifications or operations, or other reasonable reasons.

  2. The amended Terms will be posted on the Site and shall apply from the effective date specified by the Company.

  3. If a Customer places an order after the effective date, the Customer is deemed to have agreed to the amended Terms.

Article 5 (Formation of Sales Contract; Cancellation of Orders)

  1. A sales contract for the relevant Products is formed when we confirm the Customer’s order (including, without limitation, by sending an order confirmation indicating preparation for shipment or other notice of acceptance).

  2. We may refuse or cancel acceptance of an order for reasonable reasons, including, without limitation, out-of-stock, payment failure, inability to ship, suspected resale/hoarding, or other reasonable grounds.

Article 6 (Prices and Payment)

Product prices, shipping charges, fees, payment methods, and payment timing shall be as displayed on the Site and in the Individual Policies.

Article 7 (Shipping and Inspection)

  1. The estimated shipping schedule shall be as displayed on the Site and in the Individual Policies.

  2. Customers shall promptly inspect the Products upon delivery and, if any shortage, damage, or defect is found, contact us in accordance with the Individual Policies.

Article 8 (Returns, Exchanges, and Refunds)

Conditions for returns, exchanges, and refunds shall be governed by the Individual Policies.

Article 9 (Precautions; Prohibited Conduct)

Customers shall not engage in any of the following:

  1. Acts that violate laws or regulations or public order and morals;

  2. Alteration of hazard/safety labels or encouragement of unsafe use contrary to the manuals;

  3. Infringement of the rights of the Company or any third party (including copyrights and trademarks);

  4. Bulk purchases for resale or any other conduct that interferes with our operations.

  5. Commercial use (or enabling any third party to use) of the Company’s manuals, images, videos, or other content provided in connection with the Products, including (without limitation) seminars, workshops, classes, live streams, consulting, or sale of educational materials, without the Company’s prior written consent (whether for a fee or free of charge).

Article 10 (Intellectual Property)

All rights in the content on the Site (including text, images, videos, manuals, and other materials) belong to the Company or the rightful owners. Customers may not reproduce, reprint, distribute, or otherwise use such content beyond personal use.

Article 11 (Disclaimer of Warranties)

  1. To the maximum extent permitted by applicable law, we make no warranties of any kind, whether express or implied, with respect to the Products and the Site/Services, including, without limitation, warranties of merchantability, fitness for a particular purpose, or non-defectiveness.

  2. If applicable law does not allow the exclusion or limitation of certain warranties, this Article shall be limited to the extent required by such law.

Article 12 (Limitation of Liability)

  1. Except in cases of our willful misconduct or gross negligence, our liability shall be limited to the maximum extent permitted by applicable law.

  2. We shall not be liable for any indirect, special, incidental, consequential, or punitive damages (including lost profits, business interruption, or loss of data).

  3. In any event, our total liability shall not exceed the amount paid by the Customer to the Company for the Product(s) that gave rise to the claim.

  4. If applicable law does not allow the exclusion or limitation of certain damages or liability, this Article shall be limited to the extent required by such law.

Article 13 (Indemnification)

If the Company or any third party suffers damage due to a Customer’s breach of these Terms or improper use of the Products, the Customer shall indemnify the Company within a reasonable scope.

Article 14 (Force Majeure)

We shall not be liable for any delay or failure in performance due to events beyond our reasonable control, including natural disasters, transportation disruptions, customs or governmental actions, war, terrorism, pandemics, system failures, or similar events.

Article 15 (Governing Law; Jurisdiction)

  1. These Terms and all matters relating to the Site and the Products shall be governed by the laws of Japan.

  2. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute arising out of or relating to these Terms or the Products.

Article 16 (Severability)

If any provision of these Terms is held invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

Article 17 (Language)

The Japanese version of these Terms is the governing text. Any translation is provided for convenience only, and in the event of any inconsistency, the Japanese version shall prevail.

Appendix 1: Special Provisions for Kintsugi Kits (Safety Precautions for Natural Urushi, Powders, etc.) [IMPORTANT]

Article 1 (Nature of Work; Customer Responsibility)

  1. Kintsugi is a DIY process. Results, finish, and durability may vary depending on the condition of the item, working environment, and whether instructions are properly followed. Customers shall perform the work and decide on use at their own responsibility.

  2. Unless expressly warranted by the Company, the Company does not warrant the quality, durability, or suitability for any particular purpose (including use as tableware) of repaired items.

Article 2 (Risks of Natural Urushi Lacquer)

  1. Natural urushi lacquer may cause allergic reactions such as contact dermatitis depending on individual constitution. In severe cases, symptoms may include intense itching, swelling, and blisters, and may persist for an extended period.

  2. When working, follow the manual and wear protective equipment including gloves (e.g., nitrile), long sleeves, and protective eyewear; use a mask as necessary and ensure adequate ventilation.

  3. If urushi gets on the skin, promptly wash it off. If symptoms occur, consult a medical professional. If it gets into the eyes, rinse immediately and seek medical attention.

  4. Keep Products out of reach of children and pets to prevent accidental ingestion or misuse.

Article 3 (Powders, Blades, Solvents, etc.)

If the Product contains powders, blades, solvents, or similar items, there may be risks such as inhalation hazards, irritation, and flammability. Follow all precautions in the manual, wear protective equipment, keep away from ignition sources, and store and dispose of materials appropriately.

Article 4 (Use as Tableware; Clarification of Customer Responsibility)

  1. This kit allows Customers to experience traditional kintsugi using natural urushi. When fully cured in accordance with the manual and used with appropriate care (e.g., washing method, temperature changes, and wear), urushi-based repairs have historically been used for tableware.

  2. However, the final decision regarding whether and how to use repaired items as tableware, including safety and suitability, is the Customer’s responsibility. Except where expressly warranted by the Company, the Company does not guarantee safety for tableware use.

  3. Use in dishwashers, microwaves, ovens, exposure to sudden temperature changes, and use of abrasives are not recommended as they may cause damage or deterioration (please follow any specific guidance provided in the manual and Individual Policies).

Article 5 (Antique Cracked Plate and Other Accompanying Items)

  1. Accompanying items (including antique cracked plates) may have individual differences due to long-term aging (including deterioration, glaze/material characteristics, etc.).

  2. Such accompanying items are provided primarily for display or kintsugi practice. The Company does not warrant that they meet current food safety standards (including leaching standards for lead and cadmium). In light of the possibility that ceramic tableware may leach lead, Customers shall decide at their own responsibility whether to use such accompanying items as tableware.

  3. Due to cracks or chips, accompanying items may include sharp edges or fragments. Use caution when opening the package and during work (e.g., wear gloves) to avoid injury.

  4. To the maximum extent permitted by applicable law, and in accordance with Article 12 (Limitation of Liability) of the Main Terms, the Company shall not be liable for damages arising in connection with the preceding paragraphs.

 


 

Appendix 2: Special Provisions for International Purchases (Shipping to the U.S.)

Article 1 (Eligible Regions)

  1. As of the last updated date of these Terms, the Company offers international shipping to the United States. Eligible countries/regions may be changed (added or suspended) at the Company’s discretion.

  2. If we start shipping to countries/regions other than the U.S. in the future, this Appendix shall apply in a manner corresponding to “shipping outside Japan.”

Article 2 (Customs, Taxes, and Importer Responsibilities)

  1. For shipments outside Japan, customs duties, import taxes, customs clearance fees, and other charges may apply and, unless otherwise expressly stated by the Company, shall be borne by the recipient (Customer).

  2. Delays, returns, confiscations, or requests for additional documents may occur due to decisions by customs authorities or carriers. To the maximum extent permitted by applicable law and in accordance with Article 12 (Limitation of Liability) of the Main Terms, the Company shall not be liable for such events.

  3. Customers shall comply with applicable local laws and regulations as the importer (including product regulations, chemical substance regulations, and use restrictions).

Article 3 (Mandatory Consumer Laws)

Although these Terms are governed by Japanese law and subject to Japanese jurisdiction, mandatory consumer protection laws in the Customer’s place of residence may apply and may limit certain provisions of these Terms. In such case, the remaining provisions shall remain in effect.

Article 4 (Notices and Warnings)

Where notices or warnings are required for international shipments under applicable local laws (e.g., warnings that may be required for shipments to California), the Company may provide such notices/warnings in a manner determined by the Company.
